01Agreement to these terms
1.1 These terms of use (the “Terms”) govern your access to and use of the website at sourcesquid.co (the “Website”), the free tools made available on it (the “Tools”) and the free sourcing teardown (the “Teardown”), each provided by Sourcesquid Global Private Limited, a company incorporated in India with corporate identity number U74999KA2019PTC124693 and its registered office in Bengaluru, Karnataka, India (“SourceSquid”, “we”, “us” or “our”).
1.2 By accessing the Website, using a Tool or requesting a Teardown, you agree to be bound by these Terms. If you act on behalf of an organisation, you represent that you are authorised to bind it, and “you” includes that organisation. If you do not agree to these Terms, you must not use the Website.
1.3 Sourcing, quality inspection, audit and compliance services for which you pay are governed by a separate written proposal or agreement. In the event of any conflict, that proposal or agreement prevails over these Terms.
02Use of the Website
2.1 The Website is intended for use by businesses and by individuals acting in a professional capacity.
2.2 Content on the Website, including regulatory summaries, cluster profiles, trade fair dates and pricing information, is provided for general information. It does not constitute legal, customs, tax or other professional advice, and is accurate only as at the date stated or, where no date is stated, the date of publication. You should verify any information on which you intend to rely.
2.3 Prices shown on the Website are our standard prices. They exclude applicable taxes and any costs stated to be billed at cost. A binding price arises only from a written proposal issued by us and accepted by you.
2.4 We may modify, suspend or withdraw the Website, a Tool or the Teardown, in whole or in part, at any time and without liability.
03Free tools
3.1 The Tools are provided free of charge. Their outputs, including landed costs, duty rates, tariff classifications, sampling plans, carbon and packaging estimates, container loads and supplier assessments, are estimates derived from the inputs you provide and from the published data and methods described on each Tool’s page.
3.2 Outputs are not a binding tariff classification, customs or tax determination, conformity assessment, quotation or offer. You are solely responsible for verifying outputs with the competent authorities, your customs broker or other qualified advisers before relying on them.
3.3 The Tools run in your browser. Your inputs are not transmitted to us unless you choose to send a result by email or submit a form, in which case our Privacy notice applies.
04Free sourcing teardown
4.1 The Teardown is provided free of charge and without obligation. We may decline or defer a request at our discretion.
4.2 The Teardown is prepared on the basis of the information you supply, which you warrant you are entitled to share. Its process descriptions, suggested manufacturing locations and target price ranges are indicative estimates. They are not a quotation, an offer or a representation that any manufacturer will supply at a particular price, quality or lead time.
4.3 Where you request it, we will enter into a non-disclosure agreement with you before you share drawings or other confidential material. In the absence of such an agreement, we will treat material you submit as confidential and use it only to prepare the Teardown and to discuss it with you.
4.4 No contract for services arises from a Teardown request or from delivery of a Teardown.
05No warranty
5.1 The Website, the Tools and the Teardown are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we exclude all representations, warranties and conditions, whether express or implied, including any as to accuracy, completeness, fitness for a particular purpose, satisfactory quality, non-infringement and uninterrupted or error-free operation.
5.2 Nothing in these Terms affects any statutory right that cannot be excluded or limited by contract.
06Intellectual property
6.1 The Website and its content, including text, data compilations such as the India Sourcing Atlas, the Tools and their underlying software, graphics, page designs, and the SOURCESQUID name and wordmark, are owned by or licensed to SourceSquid and are protected by intellectual property laws.
6.2 Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable licence to access the Website, to use the Tools, and to download, print and share Tool outputs and Teardowns for your internal business purposes. You may quote brief extracts of Website content with attribution to SourceSquid and a link to the source page.
6.3 You retain all rights in the drawings, files and information you submit. You grant us a non-exclusive, royalty-free licence to use them solely to provide the Tool output, Teardown or response you have requested.
6.4 If you provide suggestions or feedback about the Website or the Tools, we may use them without restriction or obligation to you.
07Acceptable use
7.1 You must not:
- use the Website in breach of any applicable law or regulation, or for any fraudulent or unlawful purpose;
- submit information that is false or misleading, or material that you are not entitled to share or that infringes the rights of any person;
- introduce malicious code, or attempt to gain unauthorised access to, interfere with or disrupt the Website or the systems on which it runs;
- access the Website by automated means in a manner that imposes an unreasonable load on it, circumvents any access control, or systematically extracts its data for republication in a competing product or service;
- copy, modify, decompile or reverse engineer the Tools, except to the extent permitted by law; or
- remove or alter any proprietary notice, or present SourceSquid content as your own.
7.2 Search engines and AI assistants that observe the Website’s robots.txt file are permitted to index and cite its content.
7.3 We may suspend or restrict access to the Website for any person who breaches this Section 7.
08Limitation of liability
8.1 To the fullest extent permitted by law, SourceSquid shall not be liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profit, revenue, business, contracts, anticipated savings, goodwill or data, or for any indirect, special or consequential loss, arising out of or in connection with the Website, the Tools or the Teardown.
8.2 To the fullest extent permitted by law, SourceSquid shall not be liable for any loss arising from reliance on a Tool output or a Teardown, or on any information published on the Website.
8.3 Subject to Section 8.4, our total aggregate liability arising out of or in connection with these Terms, the Website, the Tools and the Teardown shall not exceed the fees paid by you to SourceSquid in the 12 months preceding the claim or, where no fees were paid, USD 100 or its equivalent in Indian rupees.
8.4 Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, or for any other liability that cannot be excluded or limited by law.
09Indemnity
9.1 You shall indemnify SourceSquid against losses, damages, costs and expenses, including reasonable legal fees, arising from any claim by a third party that material you submitted infringes that third party’s rights, or from your breach of Section 7.
10Third-party websites
10.1 The Website links to third-party websites, including official sources of legal and regulatory information. Those links are provided for convenience. We do not control and are not responsible for the content or availability of those websites.
11Privacy
11.1 Our processing of personal data is described in our Privacy notice and our Cookie notice.
12Governing law and jurisdiction
12.1 These Terms and any dispute or claim, including a non-contractual dispute or claim, arising out of or in connection with them or their subject matter shall be governed by the laws of India.
12.2 The courts at Bengaluru, Karnataka, India shall have exclusive jurisdiction to settle any such dispute or claim.
12.3 Where you use the Website as a consumer, Sections 12.1 and 12.2 do not deprive you of the protection of mandatory provisions of the law of your country of residence, or of your right to bring proceedings in its courts.
13Changes to these Terms
13.1 We may amend these Terms by publishing a revised version on the Website with a new effective date. The revised Terms apply from that date to use of the Website after it. Amendments do not affect a Teardown already delivered or any written agreement for paid services.
14General
14.1 If any provision of these Terms is held invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
14.2 No failure or delay in exercising any right under these Terms shall operate as a waiver of that right.
14.3 You may not assign or transfer your rights under these Terms. We may assign our rights to a successor to all or part of our business.
14.4 These Terms are written in English. Any translation is provided for convenience, and the English version prevails.
